In the body of the Terms & Conditions to follow, the term “KVU” refers to KVU Incorporated located in Reno, Nevada.  The term “The Client” refers to the person or company having entered into an agreement with KVU Incorporated for their Design Services, SEO, or other internet marketing services. The term “Contract Web Site” refers to the web site that is in specified in “The Contract” for development and updates between KVU and the Client.  The term “The Contract” refers to the existing contract or anticipated contract between KVU and the Client for Design or SEO “Work” on the “Contract Web Site”. The Term “Work” relates to any code, applications, or SEO activity provided by KVU on or apart from the “Contract Web Site”.

1)        Terms & Conditions

a)        KVU provides website design services and SEO which requires Client input to be successful.  Under this understanding, KVU requires the client to refrain from the following practices while the Contract is in force:

i)         Employing the services of another website design company/individual or other company to work on the contract Web Site while contract is in force.

ii)        Employing the services of another website developer while the contract is in force. This practice can undo all previous Contract Web Site work.

iii)      Creating any duplicate sites to the Contract Web Site, duplicate content, redirects, mirror pages or doorway pages while the Contract is in force: These can damage the credibility of the Contract Web Site Irretrievably.

iv)       Making requests for exchange links or obtaining the actual exchange links with the link farms or undertaken any spamming techniques, such as hidden links , links to link-farms, FFA [Free For All] link page, redirects or cloaking techniques. Also including submissions to search engines, search directories or other websites without the consent of KVU. The use of automated web site submissions software or automated reciprocal link programs or the purchase of back-links while the contract is in force will likewise risk tainting the reputation of the Contract Web Site. 

b)        Any other unspecified SEO or SEO related activity that may risk harming the Contract Web Site, its page ranks or its Google status while the contract is in force. New Programs claiming wild successes appear constantly in the Internet Promotions but don’t provide the results the SEO Friendly program.

i)         The client must inform KVU in writing or email support@kvucloud.com if any of the above is currently or has been undertaken prior to Contract. If any such work has been undertaken within 1 year prior to the contract, KVU will not be held responsible for any former guarantees or targets nor, under these circumstances, could KVU confirm any anticipated successes resulting from the Contract.  KVU will reserve the right to withdraw from any contract with the client if evidence of any such pre-emptive actions surface as damage to the creditability of the Contract Web Site may be evident only slowly and over a considerable time span. 

ii)        All works related to the Contract Web Site must be undertaken or sanctioned in writing through email to support@kvucloud.com to prevent conflicts within the Web Site, conflicts with other web sites or conflicts with Google and other search engines.

c)        KVU may, at its discretion, void or have the option to renegotiate the contract if any of the features of infringement items in 1.a or 1.b apply.

2)        Website and Hosting Access

a)        Client should provide proper FTP access of Contract Websites to KVU.  KVU will retain the ability to change the structure and content of the Contract Web Site.  The KVU work will endeavor not to harm the appearance of the Contract Web Site or any legally sensitive texts of the Contract Web Site, but onus is on the client to approve or disapprove all changes to the visual part of the Contract Web Site.

b)        To enable KVU to undertake Design Services or SEO on the Contract Web Site, the Client grants authority to submit the web Contract Web Site to search engines and selected directories.

c)        The Client must inform KVU of any other person or company that would have access to or be likely to request access to the Contract Web Site or require data held by KVU.

d)        The Client is responsible for ensuring that the Contract Web Site is continually accessible by Internet users and accessible by KVU for Design or SEO maintenance at all times.

3)        Client Response Time

a)        KVU will Send various reports like KVU Keyword Research report, SEO Friendly Recommendation report, etc., which needs Clients approval to move to next step or phase of the program.  It is expected that client should respond with 3 working days from the date and time the report was sent.

b)        If Client doesn’t responds within the stipulated time, it will be assumed that Client has approved the report and KVU will free to move to implement points mentioned in the report, and to move the job forward to the next phase of the Contract.

c)        If Client wants more time to review & approve all such reports, they will need to inform KVU by email before the 3 working days has expired.

4)        Guarantees:

a)        All KVU SEO work is conducted in good faith.  However, owing to the vagaries, obstructions, and revisions of search engine policy and algorithm modification, no guarantees will ever be given that the Contract Web Site will appear in any advantageous place in the Search Engine Result Pages (SERPS).  New and well-established web sites appear every day in different places due to SEO work applied to them by others.  KVU can take no account of these, as the evaluation of the work on the Contract Web Site is not in the control of KVU, but in the hands of the unpredictable search engines, particularly Google.  Sometimes, therefore, erratic results become evident although often these can corrected over time and higher SERPS will prevail.

5)        3rd Party Fees

a)        The contract includes no provision for third party payments for promotional work outside the control of KVU.  Any agreement to extend promotion work like Pay Per Click (PPC) or Cost Per Click (CPC) campaigns to a third party must be agreed in writing by KVU.  For control purposes, these fees will be paid by KVU and charged monthly to the client together with a 10% administration fee.  This may or may not include such services as Google or Yahoo Ads.

6)        Payment Terms

a)        A deposit of 50% is required upon entering the Contract, and before any Work is performed for the Client. 

b)        Payment amounts are detailed on the Client Proposal Agreement, and are finalized by the KVU Project Team upon order receipt.  The total order amount minus the deposit is due on the finish date of the Contract.

c)        If any payment is overdue, KVU reserve the right to charge the client a fee equal to 2% of the total outstanding balance each month on accounts 30 days overdue.  KVU will also suspend all design services, SEO, text marketing, PPC, or other services provided by KVU for late payment at its discretion.

Acceptance constitutes agreement to these general terms and conditions.
